Terms of Service

1. Acceptance of Terms

By accessing and using the Doctor Suite Partner Portal ("Portal", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use or access the Portal. We are a sole proprietorship operating out of India.

2. Independent Contractor Relationship

You expressly agree and acknowledge that your relationship with Doctor Suite is that of an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employer-employee relationship.

• You are not an employee of Doctor Suite.
• You are not entitled to any fixed salary, wages, medical insurance, retirement benefits, or any other employee benefits.
• You are solely responsible for all taxes, withholdings, and other statutory obligations arising from your commission earnings.
• No Guarantees: There is no guarantee of minimum earnings, leads, or successful conversions. Your earnings depend entirely on your own efforts.
• Autonomy and Expenses: You retain sole control over your own methods, hours of work, and expenses incurred in performing your activities as a partner. Doctor Suite does not reimburse travel, marketing, or operational expenses.
• No Authority to Bind: You have no authority to enter into any contracts, make binding promises, or incur any liability on behalf of Doctor Suite.

3. Account Registration and Security

To use the Portal, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your password and account credentials.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Commissions and Payouts

As a Partner, you will earn commissions based solely on successful sales or conversions generated through your leads, as defined by our current published commission structure.

• Eligibility: A Partner becomes eligible for a commission only after Doctor Suite has successfully received the full payment from the referred client and the sale has been verified and confirmed as valid.
• Payout Timeline: Once payment has been received and verified, commissions will normally be processed and transferred within 24 to 48 hours. This timeframe is an estimated operational processing time and not a guaranteed deadline. Processing may be reasonably extended due to weekends, public holidays, banking delays, technical issues, fraud review, compliance checks, or other operational reasons.
• Method: Payouts will be transferred to the bank account details you provide in your portal.
• Refunds and Chargebacks: Commissions are payable only on successfully completed and non-refunded transactions. Any refunded, cancelled, disputed, fraudulent, or chargeback transactions are not eligible for commission. If a commission was already paid on such a transaction, it will be reversed and deducted from your future payouts.
• Verification: We reserve the right to review, reject, or disqualify any leads or conversions that we determine, in our sole discretion, to be fraudulent, invalid, or in violation of these Terms.
• Modifications: Doctor Suite reserves the right to modify, revise, or completely discontinue any commission programs or structures at any time. Any changes will apply to future sales following the notification of the change.

5. Prohibited Conduct

When using the Portal and acting as a Partner, you agree NOT to:

• Make false, misleading, or unrealistic claims about Doctor Suite products to potential clients.
• Engage in spam, unsolicited mass emails, or unethical marketing practices.
• Use the Portal for any illegal or unauthorized purpose.
• Attempt to bypass or circumvent the portal's lead tracking or commission system.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Violate any applicable local, state, national, or international law.

6. Confidentiality and Non-Circumvention

As a Partner, you may receive access to confidential information regarding our business, software, and clients. You agree to strictly maintain the confidentiality of this information and not disclose it to any third party.

Furthermore, you agree that during your time as a Partner and for a period of 12 months following the termination of your account, you will not circumvent Doctor Suite by soliciting Doctor Suite clients to leave our platform, nor will you directly provide competing software or services to the clients you have introduced to us.

7. Intellectual Property

All content, trademarks, logos, service marks, software, and materials provided on the Portal are the intellectual property of Doctor Suite. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our marketing materials strictly for the purpose of promoting our products as an independent partner. You may not modify, alter, or use our intellectual property for any other purpose without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Doctor Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Portal; (b) any conduct or content of any third party on the Portal; or (c) unauthorized access, use, or alteration of your transmissions or content.

9. Disclaimer of Warranties

The Portal is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Portal or the information, content, materials, or products included on the Portal. We do not guarantee that you will earn any specific amount of commission or that the Portal will be error-free or uninterrupted.

10. Termination

We may terminate or suspend your account and access to the Portal immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Platform Misuse: Any violation of acceptable use, such as fraudulent lead submission, spamming, or misrepresentation, will result in immediate termination and forfeiture of any pending commissions.

Upon termination, your right to use the Portal will immediately cease. You may also terminate your account at any time by contacting us. Any pending commissions will be processed in accordance with our standard published payout schedule, provided you are not terminated for fraud, platform misuse, or breach of these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the courts located in Gonda, Uttar Pradesh, India.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or update these Terms from time to time. When feasible, we will provide notice of material changes through the Portal or via email. However, your continued use of the Portal following the posting of any changes constitutes your explicit acceptance of those changes.
